Acceptance of Terms

Agreement to Terms

By accessing and using the services of Greenwave Projects, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use our services.

Modifications

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services following any changes constitutes acceptance of the modified terms.

Applicable Law

These terms shall be governed by and construed in accordance with the laws of England and Wales, and any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

Description of Services

Professional Services

Greenwave Projects provides construction project management and quantity surveying services to clients across the UK. Our services include but are not limited to project planning, cost management, contract administration, claims management, and adjudication services.

Service Scope

The specific scope of services for each project will be defined in a separate written agreement or contract. These terms supplement but do not replace project-specific agreements.

Professional Standards

All services are provided in accordance with applicable professional standards, industry best practices, and regulatory requirements. We maintain appropriate professional indemnity insurance and comply with relevant professional body requirements.

Service Availability

While we strive to provide continuous service availability, we do not guarantee uninterrupted access to our services and may need to suspend services for maintenance, upgrades, or due to circumstances beyond our control.

Client Responsibilities

Information Provision

Clients are responsible for providing accurate, complete, and timely information necessary for the delivery of our services. This includes project documentation, site access, relevant permissions, and any changes that may affect the project.

Payment Obligations

Clients must make payments in accordance with agreed terms and schedules. Late payments may incur interest charges and could affect service delivery timelines.

Cooperation

Clients agree to cooperate fully with our team, provide necessary access to sites and information, and respond promptly to requests for decisions or approvals to avoid project delays.

Third-Party Contractors

When working with client-appointed contractors or consultants, clients are responsible for ensuring proper coordination and communication between all parties involved in the project.

Payment Terms and Conditions

Fee Structure

Our fees are structured based on project requirements and may be fixed, percentage-based, or hourly as agreed in the project contract. All fees are exclusive of VAT unless otherwise stated.

Payment Schedule

Payment terms are typically 30 days from invoice date unless otherwise agreed in writing. For ongoing projects, we may require staged payments aligned with project milestones or monthly intervals.

Late Payments

Late payments may incur interest charges at a rate of 8% above the Bank of England base rate per annum. We reserve the right to suspend services for accounts in arrears.

Disputed Invoices

Any disputes regarding invoices must be raised within 7 days of receipt. Undisputed portions of invoices remain payable within the normal payment terms.

Limitation of Liability

Professional Indemnity

Our liability is limited to the amount of professional indemnity insurance we maintain, which is not less than £2 million per claim. We maintain appropriate insurance coverage for the services we provide.

Consequential Losses

We exclude liability for any consequential, indirect, or special losses including but not limited to loss of profits, business interruption, or loss of opportunity, whether arising from negligence, breach of contract, or otherwise.

Time Limitation

Any claims against us must be brought within 6 years of the date when the claimant first became aware, or should reasonably have become aware, of the facts giving rise to the claim.

Third-Party Claims

We accept no liability for the acts, omissions, or defaults of third-party contractors, suppliers, or other consultants, even if we have recommended their appointment.

Confidentiality and Data Protection

Confidential Information

We will treat all client information as confidential and will not disclose it to third parties without written consent, except as required by law or professional regulations.

Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws including the UK GDPR. Clients consent to necessary data processing for service delivery.

Document Retention

We retain project documents and records in accordance with professional requirements and may be required to retain certain information for extended periods for legal or regulatory compliance.

Professional Disclosure

We may be required to disclose information to professional bodies, regulatory authorities, or courts as part of our professional obligations or legal requirements.

Termination and Suspension

Termination by Client

Clients may terminate our services at any time by giving written notice. Payment for services provided up to the termination date remains due, along with any costs incurred on the client's behalf.

Termination by Us

We may terminate services with reasonable notice if the client breaches these terms, fails to make payments, or if continuing the relationship would be inappropriate or conflict with our professional obligations.

Immediate Termination

Either party may terminate immediately in cases of material breach, insolvency, or circumstances that make continuation of the relationship impossible or inappropriate.

Effect of Termination

Upon termination, we will provide reasonable assistance to ensure orderly transition of responsibilities, subject to settlement of outstanding fees and costs.

Intellectual Property

Work Product

Reports, drawings, calculations, and other work products created specifically for a client project become the property of the client upon full payment of fees, subject to our right to retain copies for professional records.

General Knowledge

We retain ownership of general methodologies, processes, know-how, and experience gained through our work, which may be used for the benefit of other clients without disclosing confidential information.

Third-Party Rights

We respect third-party intellectual property rights and expect clients to do the same. Clients warrant that any information provided to us does not infringe third-party rights.

License to Use

Clients grant us a license to use their information solely for the purpose of providing the agreed services and for our professional development and training purposes.
